Welcome to the Koo Foundation website, operated by The Koo's Giving Charitable Foundation (the "Foundation," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of the website at https://koofoundation.com/ (the "Site") and all content, services, and grant application portals provided in connection with the Site.
BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE.
1. Eligibility and Acceptance
You represent that you are of sufficient legal age and capacity to enter into this agreement. If you are using the Site on behalf of an entity (such as a company or non-profit organisation for a grant application), you represent that you have the authority to bind that entity to these Terms, without amendment.
2. Intellectual Property Rights (IP)
2.1 Foundation Ownership
All content, materials, and services on the Site, including text, graphics, logos, research articles, and software, are the property of the Foundation or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. The Foundation reserves all rights not expressly granted herein.
2.2 User Contributions and Feedback
If you submit any comments, suggestions, grant proposals, feedback, or other materials ("User Contributions") to the Foundation, you acknowledge and agree that:
  1. All User Contributions are non-confidential and non-proprietary.
  2. The Foundation assumes no responsibility and accepts no liability for any User Contribution, including loss or damage resulting from your reliance on such materials.
  3. You are completely and exclusively responsible for all aspects of any submission and warrant that your use will not infringe the intellectual property rights of any third party.
  4. You are not entitled to any payment or compensation for your User Contributions or Feedback.
2.3 Designated Content License (Charitable Use)
The Foundation may designate certain content ("Designated Content") for broader use, consistent with the Foundation's charitable mission and commitment to open access. Where Designated Content is explicitly identified:

You may review, download, copy, distribute, and use Designated Content solely for the purpose of furthering a charitable or governmental purpose and in the ordinary course of attendant operations.

You may not sell, exploit, or otherwise distribute Designated Content for a fee.
3. Acceptable Use Policy (AUP)
Your use of the Site is subject to this Acceptable Use Policy.
3.1 Prohibited Activities
You are strictly prohibited from engaging in any activity that is illegal under local, state, federal, or international law while utilising Foundation resources. Prohibited activities include, but are not limited to:
  • Unauthorised access or attempted unauthorised access to any part of the Site or our systems.
  • The intentional creation, storage, or transmission of material deemed offensive, indecent, or obscene.
  • Copyright or trademark infringement.
  • Use of automated bots, crawlers, scrapers, or similar data extraction or mining tools to extract any content, including grant listings, articles, or research data, for commercial purposes or to disrupt the normal operation of the Site.
4. Disclaimers and Limitation of Liability
4.1 "As-Is" Provision
The Site and its services are provided on an "as-is" and "as available" basis. The Foundation expressly disclaims all statutory and implied warranties and conditions of any kind, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.
4.2 Limitation of Liability
The Foundation will not be liable for any loss suffered by users due to external events such as data loss, malware infections, system failures, or other mishaps outside our control. You agree that ambiguous or one-sided indemnification clauses related to funded projects are subject to review, but you remain primarily responsible for your obligations related to any awarded grant.
4.3 External Links Disclaimer
The Site may contain links to third-party websites. The Foundation is not responsible for the privacy practices, content, or terms and conditions of any third-party websites linked from the Foundation’s domain. Your use of any linked website is solely at your own risk.
5. Governing Law, Jurisdiction, and Termination
5.1 Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (SAR). You agree that any legal claim filed against the Foundation will be subject to the jurisdiction of the courts of Hong Kong SAR.
5.2 Termination
The Foundation reserves the right, in its sole discretion, to cancel, suspend, delete your account, or terminate your access to the Site for any reason, including, without limitation, any violation of these Terms or the Acceptable Use Policy.
6. Changes to these Terms
The Foundation reserves the right to amend these Terms from time to time. We will notify you of any substantial changes by posting an electronic notice on the Site or by sending an update to the last email address you provided. Your continued use of the Site after the effective date of any such changes will be deemed to be your agreement to the changed terms.
